Everywhere AI

Terms of Service

These terms cover the Everywhere AI website and the AI employees we build and operate for customers.

Last updated: September 28, 2026

1. Agreement

These Terms of Service (“Terms”) are a binding agreement between you and EVERYWHERE AI LTDA (“Everywhere AI,” “we,” “us”). “You” means the person or the company using the website or receiving the services. If you accept on behalf of a company, you confirm that you can bind that company.

By using everywhere-ai.com or an AI employee we operate, you agree to these Terms and to the Privacy Policy. If you do not agree, do not use the site or the services.

2. A signed agreement controls

Most AI employee work is scoped in a proposal, order, or services agreement. If that signed document conflicts with these Terms, the signed document controls for that engagement. These Terms still apply to the website, and they fill gaps the signed document does not cover. Nothing in a signed document removes a privacy right that the GDPR, UK GDPR, PIPEDA, Quebec’s Law 25, the CCPA/CPRA, another applicable US state privacy law, or the LGPD gives to an individual.

3. The services

Everywhere AI designs, connects, and operates AI employees. An AI employee is software that performs a defined job. The jobs include accounting, finance, marketing, sales, customer service, and related operations.

A customer may authorize an AI employee to connect to the customer’s systems. Those systems can include an ERP, a CRM, email, spreadsheets such as Excel, and other tools named in the order. The connection can allow the agent to read records. It can allow the agent to write, create, or update records only where the customer enables write access, and only in the systems and fields in scope. We log material reads and writes.

The website itself provides information about Everywhere AI and a way to contact us. It does not, by itself, start a paid engagement.

4. AI employees are not a licensed firm

An AI employee is a tool. It is not a certified public accountant, an accounting firm, a law firm, a bank, a broker, a financial adviser, or an employee of the customer. It can draft, reconcile, classify, summarize, route, and update records inside the scope the customer sets. It can be wrong, incomplete, or out of date.

The customer is responsible for reviewing outputs before relying on them for a filing, a payment, a financial statement, tax, credit or eligibility, regulated advice, or a message that binds the customer or affects a person. The customer keeps its own professional licenses and its own duties to its clients, employees, and regulators.

We do not, on our own account, make a decision based solely on automated processing that produces a legal effect or a similarly significant effect for a person. If a deployment could affect a person that way, the customer designs the human review and the notices required by the GDPR, the LGPD, and Quebec’s Law 25.

5. Access to your systems

If you connect an AI employee to your systems, you confirm that:

  • You have the authority to grant that access, including from your vendors and from the people whose information is in those systems.
  • You have a lawful basis to let us process that personal information, and you have given any notice those people are entitled to.
  • The credentials and permissions you provide are limited to the work in the order.
  • You can revoke a connection, and you will tell us when a person who held access on your side should no longer have it.
  • You will not ask an AI employee to evade your own security controls or a third party’s terms.

Write access is off until you enable it. You choose the mailboxes, workbooks, objects, and companies that are in scope. You remain the owner of the records in your systems. We are not responsible for the availability of an ERP, CRM, email provider, or file store that you or a third party operate.

6. Your data

You keep all rights in the data, files, prompts, and records you submit or that an AI employee retrieves from your systems (“Customer Data”). You grant Everywhere AI a limited right to host, copy, and process Customer Data only to provide the services, secure them, and meet the law.

We do not sell Customer Data. We do not use it to train general-purpose models that serve other customers, unless you agree in a written order. We may use de-identified, aggregated statistics about how the service performs, provided those statistics cannot reasonably identify you or a person in your data.

When the engagement ends, we will delete or return Customer Data as the order describes, except for copies the law requires us to keep and residual copies in encrypted backups until they are overwritten. Our duties as processor, operador, and service provider are also described in the Privacy Policy. A data-processing addendum in the order governs when one is signed.

7. Our intellectual property

Everywhere AI owns the platform, the software, the agent designs, the ontologies, the prompts and workflows we supply, and the documentation, except for Customer Data and except for third-party models and tools. You receive a limited, non-exclusive, non-transferable right to use the services during the engagement, for your internal business, under these Terms and the order.

You may use the outputs the AI employee produces for you in your business. You are responsible for reviewing them before you publish them or rely on them. Outputs can resemble content produced for someone else, because models generalize. Do not treat an output as a guarantee that it is unique or free of third-party rights.

8. Acceptable use

You will not, and you will not ask an AI employee to:

  • Break the law, including privacy, financial-record, consumer-protection, anti-spam, and intellectual-property laws.
  • Access a system, mailbox, workbook, or record you are not authorized to use.
  • Write, send, or delete in a system where you have not enabled that action.
  • Use the services to harass, defraud, or mislead a person, or to hide that a communication is from an AI employee where the law requires that disclosure.
  • Probe, scan, or reverse engineer the services, except to the extent a non-waivable law allows it.
  • Use Customer Data or our confidential materials to build a competing model or a competing agent platform.
  • Upload special-category data, such as health or biometric data, unless the order expressly includes it and a lawful basis is in place.
  • Resell the services or present an AI employee as a human employee of Everywhere AI.

9. Confidentiality

Each party will protect the other party’s non-public business, technical, and personal information with reasonable care, use it only for the engagement, and disclose it only to people who need it and are bound to protect it. These duties do not cover information that is public through no fault of the receiving party, that the receiving party already knew, that a third party provided without a duty of confidence, or that was developed independently. A party may disclose information if the law compels it, after giving notice when the law allows notice.

10. Security and incidents

We maintain administrative, technical, and organizational measures appropriate to the AI employees we run, including access limits, protection of customer-system credentials, encryption in transit, and logs of material agent actions. You maintain the security of your own accounts, networks, and the permissions you grant.

If we confirm a security incident affecting Customer Data, we will notify you without undue delay and provide the information you reasonably need to meet your own notice duties under the GDPR, PIPEDA, Quebec’s Law 25, US state breach laws, the LGPD, and your contracts.

11. Fees

Fees, expenses, and payment timing are in the order or the invoice. Unless the order says otherwise, invoices are due on the date printed on them. Late amounts may accrue interest at the lower of 1.5% per month or the maximum the law allows. We may suspend an AI employee’s access to your systems if an undisputed invoice is more than 15 days past due, after written notice. Taxes are extra, other than taxes on our income.

12. Third-party systems and models

AI employees depend on systems you control and on infrastructure and model providers we engage. Those third parties have their own terms and availability. We are not liable for an outage, a change of API, or a loss of data inside a system we do not operate, except to the extent our own configuration caused it. Your use of your ERP, CRM, email, and spreadsheet accounts remains subject to your agreements with those providers.

13. Warranties and disclaimers

We will perform the services with reasonable skill and care. Except for that commitment and except where a non-waivable law says otherwise, the website and the services are provided as available. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant that an AI employee will be error-free, uninterrupted, or suitable as the sole basis for a financial, legal, or customer-facing decision.

14. Limitation of liability

To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost goodwill, even if advised of the possibility.

Each party’s total liability arising out of the services in any 12-month period is limited to the fees you paid Everywhere AI for the services giving rise to the claim during those 12 months. If the claim arises only from the public website and you have paid no fees, that cap is one hundred US dollars.

These limits do not apply to a party’s fraud or willful misconduct, to your obligation to pay fees, to a party’s infringement of the other party’s intellectual property, or to a liability the law does not allow a contract to limit, including death or personal injury caused by negligence and non-waivable rights under consumer and data-protection law.

15. Indemnity

By you

You will defend and indemnify Everywhere AI against third-party claims, and the damages and reasonable legal fees that result, arising from Customer Data you did not have the right to provide, from instructions that break the law, or from your use of an output without the human review these Terms or the order require.

By us

We will defend and indemnify you against a third-party claim that the Everywhere AI platform, as we deliver it, infringes that third party’s intellectual property right. This does not cover claims caused by Customer Data, by a system you required us to use, by a modification you made, or by use outside the order. If an infringement claim arises, we may procure the right to continue, modify the service, or end the affected service and refund prepaid unused fees for it.

16. Suspension and ending the service

Either party may end an engagement as the order describes. We may suspend access immediately if we reasonably believe there is a security risk, unlawful use, or a breach of these Terms that we cannot wait to fix. We will restore access when the issue is resolved, or end the service if it is not. Sections that by their nature should survive, including data return, confidentiality, intellectual property, disclaimers, liability, and indemnity, survive the end of the services.

17. Governing law

These Terms are governed by the laws of Brazil, without regard to conflict-of-law rules. Subject to the next paragraph, the courts of the City of São Paulo, State of São Paulo, have exclusive jurisdiction.

If you are an individual consumer, mandatory consumer and privacy rights of the place where you live still apply, and you may bring a claim in the courts those rights designate. Those rights include the right to complain to a supervisory authority under the GDPR or UK GDPR, to the Office of the Privacy Commissioner of Canada, to the Commission d’accès à l’information du Québec, to the California Privacy Protection Agency, and to the ANPD under the LGPD. Business customers in a signed agreement may agree a different governing law and venue in that agreement.

18. Changes

We may update these Terms by posting a new version on this page and changing the date above. The version posted when you use the website applies to that use. For a paid engagement, changes apply on renewal or as the order describes, and they do not change an order already signed except by written agreement.
